Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of SumCrum, an AI chat-based mini ERP service ("Service") provided by ESS ENN Associates ("Company," "we," "our"). By accessing or using the Service, you agree to be bound by these Terms.
Description of Service
SumCrum is an AI-powered chat-based enterprise resource planning (ERP) tool designed for small and medium businesses (SMBs). The Service operates through Telegram (included) and WhatsApp (premium) messaging platforms, providing business management features including but not limited to sales tracking, quotation generation, funnel management, and customer relationship management.
Account Registration
To use SumCrum, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Be authorized to act on behalf of the business you register
You are responsible for all activities that occur under your account.
Pricing and Payment
SumCrum operates on a per-user pricing model:
- Telegram Plan: Core ERP modules accessible via Telegram. Pricing is per user per month.
- WhatsApp Premium: All Telegram features plus WhatsApp Business API integration. Additional per-user charges apply.
Prices are subject to change with 30 days' notice. All fees are non-refundable except as specified in our Refund Policy.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse engineer, decompile, or hack the Service
- Share your account credentials with unauthorized parties
- Upload malicious content, malware, or spam
- Use the Service to harass, abuse, or harm others
- Exceed reasonable usage limits or abuse the AI capabilities
- Resell or redistribute the Service without authorization
Intellectual Property
SumCrum, including its AI models, software, design, and branding, is the intellectual property of ESS ENN Associates. You retain ownership of your business data inputted into the Service. You grant us a limited license to process your data solely to provide the Service.
Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using SumCrum, you consent to the collection and processing of data as described therein.
Third-Party Platforms
SumCrum operates through Telegram and WhatsApp. Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the actions or policies of these third-party platforms.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We shall not be liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for losses arising from third-party platform outages or changes
Indemnification
You agree to indemnify and hold harmless ESS ENN Associates from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time through the Service
- We may suspend or terminate your account for violation of these Terms with notice
- Upon termination, your right to use the Service ceases immediately
- You may request export of your data within 30 days of termination
Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
